IN ANY EVENT, VIA 313'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE WEBSITE AND SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO VIA 313 IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

10. Indemnification

13. Dispute Resolution

13.1 Informal Resolution

13.2 Binding Arbitration

EXCEPT FOR DISPUTES THAT QUALIFY FOR SMALL CLAIMS COURT AND CLAIMS FOR INJUNCTIVE OR EQUITABLE RELIEF, YOU AND VIA 313 AGREE THAT ANY DISPUTE SHALL BE RESOLVED EXCLUSIVELY THROUGH FINAL AND BINDING ARBITRATION, RATHER THAN IN COURT. Arbitration shall be conducted by a recognized arbitration organization, such as the American Arbitration Association (AAA), in accordance with its then-current Consumer Arbitration Rules. The arbitration shall be conducted in the English language and shall take place in the applicable United States jurisdiction where Via 313 is located, or via videoconference or telephone at the election of either party for claims under five thousand dollars ($5,000 USD).

The arbitrator shall have the authority to award the same damages and relief that a court could award, subject to the limitations set forth in these Terms. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Each party shall bear its own arbitration costs, except as otherwise required by applicable law or the AAA's Consumer Arbitration Rules.

13.3 Class Action Waiver

YOU AND VIA 313 AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING. If this class action waiver is found to be unenforceable, then the entirety of the arbitration provision in this Section 13 shall be null and void.

13.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights, confidentiality obligations, or other rights where monetary damages would be inadequate.

14. Term and Termination

These Terms shall remain in full force and effect for as long as you use the Website or maintain an account with Via 313. Via 313 may, in its sole discretion and without prior notice or liability, terminate or suspend your access to all or any part of the Website or services for any reason, including but not limited to:

  • Violation of any provision of these Terms;
